How the platform fits: Each participating company defines its services, commission percentages, approval decisions, qualifying transactions, and payouts. ClientsHub records and calculates information entered by the parties, but ClientsHub does not guarantee that a company will approve an applicant, accept a referral, collect a customer payment, or pay a commission.
1. Roles and agreement
“Company” means a ClientsHub customer that publishes or privately offers an affiliate programme. “Affiliate” means an approved person or business that refers prospective customers to a Company. “Qualifying Service” means a Company service marked active and offered with a commission percentage in ClientsHub.
These Affiliate Terms supplement the general Terms and Conditions, Acceptable Use Policy, and Privacy Policy. A Company may publish additional programme terms. If those additional terms conflict with these Affiliate Terms, the more specific Company terms govern the relationship between that Company and its Affiliate, but cannot require unlawful conduct or expand ClientsHub’s obligations.
2. Applications, invitations, and approval
- An Affiliate may create a ClientsHub account without owning or joining a Company.
- A public Company listing permits an Affiliate to apply; the Company administrator decides whether to approve or reject the application.
- A valid private invitation may grant immediate affiliate membership, subject to any additional Company verification.
- Approval for one Company does not grant access to another Company.
- Applications and accounts must use accurate identity and contact information. Duplicate, deceptive, or impersonated applications are prohibited.
A Company may make its listing public or private at any time. Removing a public listing stops new directory applications but does not by itself cancel approved Affiliate memberships or commissions already earned.
3. Independent status and promotion rules
An Affiliate is an independent contractor and is not an employee, agent, partner, franchisee, or legal representative of ClientsHub or the Company. An Affiliate cannot bind either party, make unauthorized warranties, set Company prices, collect money without authorization, or represent that a referral is guaranteed acceptance.
Affiliates must:
- use truthful, current descriptions, prices, services, and commission disclosures;
- identify themselves and disclose the affiliate relationship where required or where it may affect a customer’s decision;
- send outreach only where lawful and honor opt-outs immediately;
- use Company names, logos, and materials only as authorized and stop when authorization ends;
- avoid bidding on protected brand terms, registering confusing domains, impersonating official accounts, or publishing fake reviews unless the Company expressly permits the specific activity; and
- protect prospect data and enter it only into the intended Company workspace.
4. Referral and client attribution
A referral is eligible only when it is recorded or attributed to the Affiliate in the relevant Company workspace and the Company recognizes the Affiliate as responsible for bringing or converting the customer. Company administrators may review evidence, duplicates, prior relationships, lead ownership, payment records, cancellations, refunds, fraud, and applicable attribution windows.
Unless the Company publishes a different rule:
- the first valid recorded referral that materially led to the sale receives attribution;
- an existing customer or lead already actively pursued by the Company is not automatically a new affiliate referral;
- self-referrals, circular referrals, fabricated customers, and duplicate claims do not qualify; and
- each purchased service is evaluated separately, so one client may generate different one-time and recurring commission entries.
5. How service-level commissions are calculated
The Company sets a one-time percentage and/or recurring percentage for each service. The rates displayed in the Company’s affiliate listing are informational offers and may be changed prospectively by an authorized Company administrator.
- One-time commission: the applicable one-time percentage multiplied by the customer’s initial amount actually collected for that service.
- Recurring commission: the applicable recurring percentage multiplied by recurring amounts actually collected for that service.
- Future renewal value: a forecast or amount expected at the next renewal is not collected revenue and does not create an earned commission.
- Multiple services: each selected service is counted separately according to its own status, collected payments, and rates.
- Stopped or expired service: valid historic collected payments and earned commission history remain recorded, but future renewal value stops accruing while the service is stopped, cancelled, or expired.
- Refunds and reversals: the Company may reverse or offset a commission associated with a refunded, charged-back, fraudulent, duplicate, or uncollected transaction.
The rate applicable to a transaction is normally the rate recorded for that Qualifying Service when the qualifying payment is recorded, unless the Company’s published programme terms clearly provide another prospective rule. Company administrators and Affiliates should retain supporting payment and attribution records.
6. Approval, payment, and taxes
The Company—not ClientsHub—is responsible for reviewing commission entries, resolving discrepancies, choosing payout thresholds and schedules, paying the Affiliate, and marking payments as sent. A “pending” amount is a calculated ledger value, not money held in trust by ClientsHub and not a guarantee of payment.
The Affiliate is responsible for accurate payout details, invoices where required, taxes, registrations, and reporting arising from affiliate income. The Company may withhold amounts where required by law and should provide legally required documentation.
Payment-service or payout-provider terms may also apply. Recording a payout in ClientsHub does not itself transfer funds.
7. Suspension and termination
An Affiliate or Company may end their relationship subject to any additional Company terms. A Company may suspend or remove an Affiliate for breach, inactivity, fraud risk, unlawful outreach, brand misuse, customer complaints, or programme closure. ClientsHub may restrict either account under the general Terms or Acceptable Use Policy.
After termination, the Affiliate must stop representing the Company and using its protected materials. Valid commissions earned from collected payments before termination remain subject to review, reversal, payment terms, and applicable law. No commission accrues on later payments unless the Company’s programme expressly provides post-termination recurring eligibility.
8. Records, disputes, and liability
The parties should first compare the ClientsHub service entries, attribution records, payment evidence, rate history, and payout ledger. Company administrators must review a written dispute in good faith and explain any rejection or adjustment.
A dispute about approval, customer ownership, commission eligibility, or payout is primarily between the Company and Affiliate. ClientsHub may provide available platform records but is not an arbitrator, employer, escrow provider, or guarantor. General disclaimers, liability limits, governing law, and dispute provisions in the Terms and Conditions apply to ClientsHub.
